1. Acceptance of Terms
By accessing, browsing, or using the MVP2Scale website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.
2. Services Overview
MVP2Scale provides software development services including, but not limited to, MVP development, web application development, mobile application development, SaaS product development, landing pages, and related consulting and advisory services.
The scope, timeline, and deliverables for each engagement are defined during the scoping and discovery process and agreed upon before work begins.
3. Scope of Work
All project deliverables, timelines, features, and milestones are defined during the scoping phase. Any changes, additions, or modifications beyond the agreed scope constitute a change request and may result in revised timelines and additional charges.
MVP2Scale reserves the right to decline change requests that materially alter the project direction or feasibility.
4. Payment Terms
All pricing communicated during the scoping process is project-based and one-time unless otherwise stated. Payment schedules, milestones, and methods are agreed upon before work begins.
Hosting, third-party integrations, and post-launch maintenance may involve separate recurring charges as communicated during the engagement.
Late payments may result in work being paused until outstanding amounts are settled.
5. Intellectual Property
Upon full payment, the client receives ownership of the custom code, designs, and deliverables created specifically for their project, unless otherwise agreed.
MVP2Scale retains the right to use general frameworks, tools, libraries, methodologies, and reusable components developed independently or prior to the engagement. MVP2Scale may also reference the project in its portfolio, case studies, or marketing materials unless explicitly restricted in writing.
6. Client Responsibilities
The client agrees to:
- Provide timely and accurate information, content, feedback, and approvals required for the project.
- Designate a single point of contact for communication and decisions.
- Review deliverables within agreed timelines and provide clear, consolidated feedback.
Delays caused by the client in providing required inputs or feedback may extend the project timeline accordingly.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the engagement.
MVP2Scale will not share client business data with third parties except as necessary to deliver the agreed services, with prior notification where reasonably possible.
8. Warranties and Disclaimers
MVP2Scale delivers work with professional care and reasonable quality standards. However, all services are provided "as is" without express or implied warranties of merchantability, fitness for a particular purpose, or guaranteed business outcomes.
MVP2Scale does not guarantee specific revenue, traffic, user adoption, or market success resulting from the delivered product.
9. Limitation of Liability
To the maximum extent permitted by applicable law, MVP2Scale shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the services, deliverables, or this agreement.
MVP2Scale's total liability for any claim arising from an engagement shall not exceed the total amount paid by the client for that specific engagement.
10. Termination
Either party may terminate an engagement by providing written notice. In such cases, the client shall pay for all work completed up to the date of termination.
MVP2Scale reserves the right to terminate an engagement if the client fails to meet payment obligations, repeatedly delays the project, or engages in conduct that makes continued collaboration unreasonable.
11. Post-Launch Support
Post-launch support is included as specified in the selected plan and covers bug fixes, minor adjustments, and guidance. It does not cover new features, scope changes, or redesigns, which would be scoped as a separate engagement.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in India.
13. Changes to These Terms
MVP2Scale reserves the right to update or modify these Terms of Service at any time without prior notice. The most recent version will be posted on this page with an updated date. Continued use of the website or services after changes constitutes acceptance of the revised terms.
